An opportunity for an experienced operations professional to launch and lead the Legal Operations function while supporting the mission and responsibilities of the Legal Department.  The position will work closely with the Deputy General Counsel (Deputy GCs) and the Corporate Secretary.  The successful candidate will be responsible for managing department operational initiatives, contributing to process development and documentation, assisting with Board of Directors meeting planning and SEC compliance, and providing administrative support.  The successful candidate will use creative problem-solving to understand Legal Department practices and processes, identify opportunities, and help improve, design, and implement solutions to improve the efficiency and quality of the Legal Department’s operations.

 

ESSENTIAL JOB FUNCTIONS & RESPONSIBILITIES:

  • Approximately 25-30% of time spent over the course of the year – with particular needs at/around quarterly board meetings and annual proxy statement in March/April – focused on corporate governance
  • Assist in efforts to analyze, plan, design, and launch efficient business processes and technology systems to support Legal Department functions
  • Work collaboratively with Legal Department personnel and internal business partners on Legal Department operational initiatives
  • Prepare reports and respond to ad hoc queries relating to Legal Department business, including ongoing public company filings and reports
  • Work collaboratively with Corporate Secretary in the drafting, printing, and distribution of annual meeting materials
  • Assist Corporate Secretary with Board of Directors and Committee Meetings, including scheduling dates and overseeing meeting logistics and coordinating the distribution of pre-meeting materials from management via on-line board portal
  • Maintain the Company’s subsidiary management program and serve as the primary liaison for subsidiary management requests
  • Maintain the Department’s internal websites and the Company’s corporate governance website
  • Assist with the management of Legal Department databases and technology, including the Company’s on-line board portal (Diligent) and the Company’s invoice- and matter-management system (Serengeti)
  • Assist with contracts and payment processing and other transaction and litigation documents
  • Maintain the department budget
  • Standardize and automate manual processes to improve workflows, knowledge sharing, and collaboration within the Legal Department and with our internal business partners
  • Perform other duties as assigned by the Deputy GCs, including general office responsibilities, processing director expenses, coordinating director compensation payments and education programs, assistance with special projects, and backing up other Legal Department non-attorney staff

QUALIFICATIONS/REQUIRED SKILLS:

  • At least 2 years prior experience in a legal environment or working for a senior level executive
  • Experience with public companies a plus
  • Proficiency with MS Office, especially Word, Outlook, Excel, PowerPoint, and Visio
  • Familiarity with hCue, Diligent, Serengeti and Legal Department document management systems (e.g. iManage) a plus
  • Adherence to the highest ethical standards

  • Strong organizational skills
  • Excellent interpersonal and communication (verbal and written) skills with proven ability to develop and maintain effective business partner relationships at the highest levels of the organization.
  • Excellent time management and prioritization abilities with handling multiple tasks in a changing, fast-paced environment, and the ability to perform those tasks with minimal direct supervision
  • Consummate team player and ability to work collaboratively with all levels of staff
  • High level of professionalism and accountability, particularly with highly sensitive/confidential information
  • Creative and positive attitude
  • Ability to maintain a flexible schedule
